1. INTRODUCTION

These are the terms and conditions on which the University of Sussex (the "University") will allow you to register for an account for access to the University's eHALOPH website (the "Website").

\r\n

2. DEFINITIONS

The following words and expressions are used in these terms and conditions:

"Account" means an account for access to the Website.

\r\n

"Associates" means the employees, students, agents and contractors of the University, and anyone else who collaborates with the University for the purpose of adding to or otherwise modifying the Database.

"Contribution" means any contribution that you make or propose to the Database. Contributions may include (without limitation): new data that you add to, or propose for addition, to the Database; any update or reorganisation of the Database that you make or propose; and any verification of the contents of the Database.

"Database" means the database (as updated from time to time) that is hosted on the Website.

\r\n

"Intellectual Property" means copyright (including, without limitation, moral rights), database right, rights in confidential information, trade marks, design rights, and any other intellectual property rights of any other kind or description, whether registered or unregistered.

3. ACCURACY OF INFORMATION

You warrant:

(a) that any information that you are providing, or that you have previously provided, to the University in connection with your access to the Website and/or the Database is correct and complete to the best of your knowledge and belief; and

\r\n

(b) that any information that you provide to the University in the future in connection with your access to the Website and/or the Database will be correct and complete to the best of your knowledge and belief at the time when you provide it..

\r\n

4. YOUR USE OF THE WEBSITE AND THE DATABASE

\r\n

4.1. You will not use the Website or the Database in any way that disrupts the Website or the Database, or in any way that prevents the University or anyone authorised by the University from accessing the Website or the Database.

\r\n

4.2. You will not use the Website or the Database for any unlawful purpose, or in any way that could lead to liability of any kind being incurred the University or by any of its Associates.

\r\n

4.3. You will not copy the whole Database or any substantial part of the Database, except with the University's express permission.

\r\n

4.4. The Website is designed to allow different users of the Website different levels of access to the features of the Website. The University has an absolute discretion to decide what level of access to the Website to allow you, and to change your level of access to the Website at any time without notice.

4.5. You will keep any password associated with your Account strictly confidential and secure, and will not allow any other person to access the Website or the Database using your Account.

\r\n

4.6. You will not attempt to access the Website or the Database using another person's Account, or otherwise attempt to access the Website or the Database in any way other than as authorised by the University.

5. CONTRIBUTING TO THE DATABASE

\r\n

5.1. If you make or propose any Contribution, then you will ensure that that Contribution:

\r\n

(a) is correct and complete to the best of your knowledge and belief, and is made or proposed in good faith for the purpose of improving the Database;

\r\n

(b) complies with any instructions that the University gives you;

\r\n

(d) is not defamatory, obscene, indecent, offensive, or in any respect unlawful, or such that it could lead to liability of any kind being incurred the University or by any of its Associates.

\r\n

5.2. You hereby grant the University an irrevocable, non-exclusive, royalty-free, sub-licensable (to unlimited levels), transferable licence, throughout the Universe, under all Intellectual Property that subsists and that will in future subsist in your Contributions, for the entire duration of such Intellectual Property including renewals, revivals, reversions and extensions, to do all things whatsoever that are from time to time restricted by such Intellectual Property, for any purpose whatsoever, using any technology whatsoever (whether invented or yet to be invented), without any requirement for you to be named or otherwise acknowledged as an author or contributor.

\r\n

6. LIMITATION OF LIABILITY

\r\n

6.1. SUBJECT TO CLAUSE 6.5, THE WEBSITE AND THE DATABASE ARE PROVIDED TO YOU ON AN "AS IS" BASIS, AND THE UNIVERSITY GIVES NO WARRANTIES WHATSOEVER AND MAKES NO REPRESENTATIONS WHATSOEVER IN RELATION TO THE WEBSITE OR THE DATABASE. YOU USE THE WEBSITE AND THE DATABASE ENTIRELY AT YOUR OWN RISK. THE LICENSEE ACCEPTS AND AGREES THAT IT IS NOT RELYING ON, AND HAS NOT RELIED ON, ANY REPRESENTATION BY THE UNIVERSITY IN AGREEING TO THESE TERMS AND CONDITIONS.

6.2. WITHOUT PREJUDICE TO THE GENERALITY OF CLAUSE 6.1, BUT SUBJECT TO CLAUSE 6.5:

(A) THE UNIVERSITY GIVES NO WARRANTY, AND MAKES NO REPRESENTATION, THAT THE WEBSITE OR THE DATABASE DOES NOT INFRINGE THIRD-PARTY INTELLECTUAL PROPERTY.

\r\n

(B) THE UNIVERSITY GIVES NO WARRANTY, AND MAKES NO REPRESENTATION, THAT THE WEBSITE OR THE DATABASE IS FIT FOR ANY PURPOSE.

\r\n

(C) THE UNIVERSITY GIVES NO WARRANTY, AND MAKES NO REPRESENTATION, THAT ANY OF THE INFORMATION ON THE WEBSITE OR IN THE DATABASE IS ACCURATE OR COMPLETE.

\r\n

6.3. SUBJECT TO CLAUSE 6.5, THE UNIVERSITY SHALL NOT BE LIABLE IN CONNECTION WITH THE WEBSITE OR THE DATABASE FOR ANY INDIRECT OR CONSEQUENTIAL LOSS OR DAMAGE, OR FOR PURE ECONOMIC LOSS OR DAMAGE, OR FOR LOSS OF DATA, CONTRACT(S), BUSINESS, PROFIT OR REVENUE.

6.4. SUBJECT TO CLAUSE 6.5, THE UNIVERSITY'S AGGREGATE LIABILITY TO YOU IN CONNECTION WITH THE WEBSITE AND THE DATABASE SHALL NOT EXCEED ONE HUNDRED POUNDS STERLING (£100).

\r\n

6.5. NOTHING IN THESE TERMS AND CONDITIONS SHALL EXCLUDE, LIMIT OR RESTRICT ANY LIABILITY FOR DEATH OR PERSONAL INJURY RESULTING FROM NEGLIGENCE, ANY LIABILITY FOR FRAUD, OR ANY OTHER LIABILITY THAT CANNOT, BY LAW, BE EXCLUDED, LIMITED OR RESTRICTED.

7. INDEMNITY

\r\n

YOU WILL INDEMNIFY AND HOLD HARMLESS THE UNIVERSITY AND ITS ASSOCIATES AGAINST ALL LOSSES, COSTS, DAMAGES, LIABILITIES AND CLAIMS (INCLUDING ALL COURT COSTS AND LEGAL FEES ASSOCIATED WITH SUCH LIABILITIES AND CLAIMS) SUFFERED OR INCURRED BY THE UNIVERSITY OR BY ANY OF ITS ASSOCIATES AS A CONSEQUENCE OF ANY OF THE FOLLOWING:

\r\n

(A) YOUR USE OF OR ACCESS TO THE WEBSITE OR THE DATABASE;

\r\n

(B) YOUR USE OF ANY OF THE INFORMATION IN THE DATABASE; OR

\r\n

8. DURATION AND TERMINATION

\r\n

8.1. These terms and conditions will remain in force for as long as your Account remains in existence. Either you or the University may delete your Account at any time (without the need for notice, and without the need to give a reason).

\r\n

8.2. Even after your Account is deleted, clauses 3, 5.2, 6, 7, 8.2 and 9 (together with the definitions in clauses 1 and 2) will remain in effect.

\r\n

9. MISCELLANEOUS

\r\n

9.1. Headings in these terms and conditions are for ease of reference only, and do not affect the construction or interpretation of these terms and conditions.

\r\n

9.2. The University may assign all or any part of the benefit of these terms and conditions.

\r\n

9.3. You may not assign all or any part of the benefit of these terms and conditions.

\r\n

9.4. If the University fails to enforce, or delays in enforcing, any of your obligations under these terms and conditions, or fails to exercise, or delays in exercising, any right under these terms and conditions, that failure or delay will not affect the University's right to enforce that obligation or constitute a waiver of that right. Any waiver by the University of any provision of these terms and conditions will not, unless expressly stated to the contrary, constitute a waiver of that provision on a future occasion.

\r\n

9.5. If, for any reason, any provision of these terms and conditions is invalid or unenforceable in any jurisdiction, then this shall not affect the validity and enforceability of that provision in any other jurisdiction, nor shall it affect the validity or enforceability of the rest of these terms and conditions.

9.6. At the University's request, you will execute any documents and take any other actions required to give full effect in any jurisdiction to the University's rights under these terms and conditions.

\r\n

9.7. Except as provided in clause 5.2 (as supplemented by clause 9.6), nothing in these terms and conditions shall be construed to grant any rights in or licences under any Intellectual Property.

\r\n

9.8. These terms and conditions do not cover data protection issues (which are covered by a separate data protection statement).

\r\n

9.9. Subject to clause 9.8, these terms and conditions constitute the entire agreement between you and the University on the subject matter of these terms and conditions, and supersede any previous terms and conditions, or other agreement or communication between you and the University, relating to the subject matter of these terms and conditions.

9.10. No modification of these terms and conditions shall be valid unless either:

\r\n

(a) it is in writing, signed both by you and by an authorised representatives of the University, or

\r\n

(b) it is entered into by you accepting, over the Internet, a revised version of these terms and conditions.

9.11. No person or entity except you and the University may enforce any benefit conferred by these terms and conditions, except that the University's Associates may enforce their rights under clause 7.

\r\n

9.12. No person or entity except you and the University may prevent the cancellation, amendment, termination or rescission of these terms and conditions.

\r\n

9.13. These terms and conditions shall be governed by the law of England. Any dispute arising out of or relating to these terms and conditions, the Website and/or the Database shall be subject to the exclusive jurisdiction of the English courts, except that the University may seek an injunction (or equivalent local remedy) in any jurisdiction.
